1. Overview. The Channel 4 Homerun Inning presented by Harrah's Rincon Promotion (the "Promotion") consists of two parts: a text message offer (the "Offer") and a sweepstakes (the "Sweepstakes").

2. Promotion Period. The Promotion will run from April 5, 2011 through September 28, 2011 at 11:59 p.m. P.T. (the "Promotion Period")

3. Eligibility Requirements. Subject to conditions below, the Promotion is open to legal residents of San Diego County who are 21 years of age or older at the time of entry. The following persons are not eligible to participate in this Promotion: employees of Sponsor, Harrah's Rincon, their respective affiliates, advertising and promotional agencies, and the immediate family members of all such employees and all others with whom they are domiciled.

4. Offer Terms & Conditions. To participate in the Offer, watch the Padres games on Channel 4 during the Promotion Period. If a Padres player hits a home run during the 5th inning of a game shown on Channel 4, text the word "HOMER" to 269411 to get a text message coupon code offer from Harrah's Rincon. 5. Sweepstakes Entry. You can enter the Sweepstakes during the Promotion Period by (a) visiting the Sweepstakes registration page at www.4sd.com and completing all of the required information and following all posted instructions; or (b) hand-printing the following information on a postcard or 3" x 5" card or piece of paper and mailing it to [Cox Media, The Channel 4 Homerun Inning Promotion, 350 10th Ave, Suite 500, San Diego, CA 92101]: the statement "PROGRESSIVE JACKPOT", your first and last name, telephone number, and address. No facsimiles or mechanical reproductions permitted. Only one (1) entry per outer stamped envelope. You may enter the Sweepstakes as often as you like but a maximum of one (1) prize will be awarded per person. Incomplete, forged, altered, automated, mechanically-reproduced, lost, late, postage-due, misdirected, garbled or illegible entries will be disqualified. Sponsor will not be responsible for failure to receive entries due to transmission failures or technical failures of any kind, including, without limitation, malfunctioning of any network, hardware or software, whether originating with sender, Sponsor, or Sponsor's Sweepstakes application service provider. In the event of a dispute, all online entries will be deemed to have been submitted by the owner of the ISP account from which they were sent, provided that such person satisfies all other Sweepstakes eligibility requirements. For these purposes, an ISP account holder shall mean the natural person assigned to such ISP account by the Internet access provider, online service provider or other organization responsible for assigning ISP addresses for the domain associated with such ISP account. All entries become property of Sponsor and none will be returned. Any questions regarding the number of entries submitted or the owner of an ISP account shall be determined by Sponsor in its sole discretion, and Sponsor reserves the right to disqualify any entries by persons who submit false or misleading entry information or who Sponsor determines to be tampering with or abusing any aspect of the Sweepstakes.

6. Selection of Sweepstakes Winner. Before each Padres game on Channel 4, Sponsor will select one entrant at random from among all eligible entries received through the end of the previous day. If a Padres player hits a grand slam during the 5th inning of that game, then the selected entrant will be named a provisional winner. If the Padres do not hit a grand slam during the 5th inning of that game, then selected entrant's entry will be returned to the entry pool and will remain eligible to be selected for future games.

7. Sweepstakes Prize. If a Sweepstakes winner is named during the first game that occurs in the Promotion Period, that winner will receive $1,000.00 subject to verification of eligibility and compliance with these Official Rules. However, if the Padres do not hit a grand slam during that first game, then the value of the prize will increase by $500 for each game that no grand slam occurs, up to a total of $79,500.00 for a single winner. The prize value will reset to $1,000.00 for the game following the one in which a Sweepstakes winner is named, and increase by $500 for each subsequent game in which there is no Padres grand slam. A winner may waive the right to receive a prize. Prizes are nonassignable and nontransferable. No substitutions allowed by winner. Prizes and individual components of prize packages are subject to availability. Sponsor reserves the right to substitute prizes or components of prize packages with a prize or component of equal or greater value. Winner is solely responsible for reporting and payment of any taxes on a prize. Winner may be required to provide his/her valid Social Security Number to Sponsor for tax purposes and/or complete an IRS W-9 form in order to claim a prize. Winners are solely responsible for all federal, state and local taxes on prize value and, as applicable, will be issued an IRS Form 1099 based on the prize value determined by Sponsor. Prizes not won and claimed by eligible winners in accordance with these Official Rules will not be awarded and will remain the property of Sponsor.

8. Sweepstakes Winner Notification. Cox Media San Diego will attempt to notify the provisional winner by telephone within twenty-four (24) hours of the grand slam. No messages will be left at the telephone number(s) given by provisional winners, and any calls returned by provisional winners via caller identification or similar technology will not be accepted. In order to claim a prize, a provisional winner must respond to Sponsor's notification within 24 hours of notice or attempted notice. Potential winners may be required to complete an affidavit of eligibility, and a liability and publicity release (except where prohibited by law), which must be notarized and returned when winner claims their prize by visiting the Cox Media San Diego office. Winner must accept the prize within seven days of notification that he/she has been declared the Winner by visiting the Cox Media San Diego office for fulfillment. Failure to accept and take delivery of the Prize within this time period will result in forfeiture of all rights and interest in the Prize. Sponsor's inability to reach a potential winner after a reasonable (as solely determined by Sponsor) effort has been made, the failure of a potential winner to timely respond to a prize notification, the return 2 of any prize notification as undeliverable, and/or a potential winner's failure to comply with any term or condition of these Official Rules may, in Sponsor's sole discretion, result in the potential winner's disqualification and the selection of a substitute winner by a random drawing from among all remaining eligible entries received during the Promotion Period. Sponsor will conduct up to five alternate drawings, after which the prize will remain unawarded. Except where prohibited, acceptance of any prize constitutes the winner's irrevocable consent to the publication or other use by Sponsor and its licensees of his or her name, biographical information and likeness in any media, including the Internet, for any commercial, publicity or promotional purpose, without limitation, review or approval, or additional compensation.

9. Odds of Winning the Sweepstakes. The odds of winning depend on the total number of eligible entries received.

10. Participation. By participating in any aspect of the Promotion, participants agree to be bound by these Official Rules and the decisions of Sponsor and any Sweepstakes judges or Promotion administrators selected by Sponsor, which are final and binding in all respects. Sponsor reserves the right to disqualify persons found tampering with or otherwise abusing any aspect of this Promotion as solely determined by Sponsor. In the event the Promotion or any part of the Promotion is compromised by a virus, non-authorized human intervention, tampering or other causes beyond the reasonable control of Sponsor which corrupt or impair the administration, security, fairness or proper operation of the Promotion, Sponsor reserves the right in its sole discretion to suspend, modify or terminate the Promotion or any part of the Promotion. Should the Sweepstakes be terminated prior to the stated expiration date, Sponsor reserves the right to award prizes based on the entries received before the termination date. Proof of sending or submission of an entry or text message will not be deemed proof of receipt by Sponsor.

13. Construction. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any such provision is determined to be invalid or otherwise unenforceable, these Official Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein. 14. Disputes. As a condition of participating, participant agrees that any and all disputes, claims and causes of action arising out of, or connected with, this Promotion shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in San Diego, CA. 15.
